Representative Experience

  • Representing the lead arranger and agent in a syndicated revolving credit facility aggregating US$175 million (with an accordion option for an additional US$75 million) for a manufacturer.
  • Representing an insurance company when one of its insurance brokers left and set up a competing business. The former employee sued for wrongful termination and we cross-claimed on behalf of our client for unfair business practices and the misappropriation of trade secrets. The case was settled in its early stages.
  • Causing a motion for class certification to be withdrawn representing a nonprofit managed care company in the United States in a putative class action brought by physicians challenging the legality of our client's reimbursement and claims-handling practices and seeking to represent a class of health care providers that had provided medical services to our client's insured.
  • Representing the lead agent in connection with a US$150 million asset-based, cross-border, syndicated credit facility in conjunction with a split collateral pool-structured US$100 million syndicated term loan facility for a Tier II automotive and truck electrical component manufacturer.
  • Representing the lead arranger and agent in a syndicated multicurrency revolving credit facility aggregating US$280 million (with an accordion option for an additional US$50 million) for a US-based manufacturing group with non-US subsidiaries.
  • Representing the lead agent in connection with a US$85 million roll-up acquisition facility for a private equity group for acquisitions in the aluminum production manufacturing industry.
  • Representing a leading provider of property and casualty insurance to businesses, the subsidiary of a major global Switzerland-based insurance company, in a litigation matter involving an SEC investigation.
  • Representing the lead arranger and agent in the restructuring of syndicated secured multicurrency revolving credit and term loan facilities aggregating US$178 million for an international manufacturing group, involving both US and non-US collateral and intercreditor arrangements with two other debt facilities.
  • Assisting a national prescription benefit management company in establishing a US$75 million reinsurance treaty with a large Germany-based reinsurer.
  • Representing the lead agent in a US$82 million secured credit facility financing for a Midwestern private equity fund’s purchase of a hydraulic system distribution company.
