- Assisting a national prescription benefit management company in establishing a US$75 million reinsurance treaty with a large Germany-based reinsurer.
- Representing a US nationally recognized supplemental insurance carrier in an agency contract termination dispute. The court directed a verdict in favor of the insurance carrier with regard to the terminated agency’s claims on conversion, breach of fiduciary duty and punitive damages.
- Representing the lead agent in connection with a US$100 million asset-based, syndicated credit facility in conjunction with a US$200 million syndicated term loan facility for retail products company.
- Representing the lead agent in the restructuring of a US$400 million syndicated revolving credit facility (with an accordion option for an additional US$100 million) for a US-based insurance holding company, involving the addition of collateral securing the facility alone and collateral shared with three bond indenture issuances.
- Representing the lead agent in connection with restructuring of a syndicated US$70 million senior credit facility for a sponsor-owned technology/chemical manufacturing company.
- Assisting in the creation of insurance claims litigation and third party administrator back-office operations support services and providing general legal counsel, including insurance and M&A advice, to the insurance services company.
- Acting as borrower's counsel to the largest crude oil processor in the Czech Republic in connection with a US$135 billion loan from a syndicate led by HSBC Investment Bank plc including advising the company on the tender for and selection of the loan arranger.
- Advising a Czech Republic-based company in the acquisition of a Hungary-based detonation company.
- Representing the lead agent in a US$82 million secured credit facility financing for a Midwestern private equity fund’s purchase of a hydraulic system distribution company.
- Serving as bond counsel to Florida’s Citizens Property Insurance Corporation in its issuance of more than US$5.6 billion in tax exempt and taxable senior secured bonds and refunding bonds to augment the resources of its High-Risk Account and its Personal Lines Account/Commercial Lines Account. Citizens is a statutorily created insurer of last resort that provides property and casualty insurance to qualified risk (certain claims arising from windstorm and other weather-related events).
